WABC, New York Host and Former Trump Lawyer Rudy Giuliani Suspended from Practicing Law in New York. The New York State Appellate Division, First Department suspended the law license of former NYC mayor, former Donald Trump attorney, and current WABC, New York talk host Rudy Giuliani. The court ruled that Giuliani “communicated demonstrably false and misleading statements to courts, lawmakers and the public at large in his capacity as lawyer for former President Donald J. Trump and the Trump campaign in connection with Trump’s failed effort at reelection in 2020.” It added that Giuliani’s conduct “immediately threatens the public interest and warrants interim suspension from the practice of law.” The fate of Giuliani’s New York law license hangs in the balance as the court added, “We find that there is evidence of continuing misconduct, the underlying offense is incredibly serious, and the uncontroverted misconduct in itself will likely result in substantial permanent sanctions at the conclusion of these disciplinary proceedings.”

Cumulus Media Completes $175 Million Debt Paydown. The company completes a multi-step procedure it began in May of this year to pay down $175 million of debt using cash on hand. Here’s how it happened: On May 17, Cumulus Media completed a $60 million repayment of its ABL Revolver due 2025, which represented the entirety of the amount outstanding under the facility. Following the paydown, the ABL Revolver due 2025 is undrawn and available as liquidity for general corporate purposes. On May 25, it paid down approximately $89 million of its Term Loan Credit Facility due 2026 related to a mandatory prepayment obligation arising from the company’s previously announced sale of land in Bethesda, MD, in June 2020 and sale of towers and related assets in September 2020. Pursuant to the terms of its 6.75% Senior Secured First Lien Notes due 2026, on May 26, 2021, the company launched a tender offer to repurchase approximately $26 million of the Notes at par, which represents the pro rata amount required to be offered from the proceeds of the Tower Sale. As of the expiration of the Tender Offer, approximately $3 million of Notes were validly tendered, accepted for payment and subsequently cancelled. Giving effect to the impact of the Tender Offer, approximately $450 million principal amount of Notes remains outstanding. Finally, on June 24, Cumulus submitted an irrevocable paydown notice to the administrative agent of the Term Loan to effectuate a required paydown of $23 million, which represents the remainder of the initial amount of the Tender Offer that was not validly tendered prior to the expiration date. Cumulus EVP and CFO Francisco J. Lopez-Balboa says, “As the improvement in economic and public health conditions continues to drive momentum in business trends, we felt it appropriate to accelerate several debt repayments in order to expedite our balance sheet de-levering, reduce interest expense, and increase our free cash flow generation. We believe this better leverage and free cash flow profile, more than $200 million of available liquidity and solid rebound trajectory are significantly enhancing our financial flexibility. Given our strong competitive position, proven execution track record, and numerous revenue growth drivers, we are confident in our multiple pathways to grow shareholder value.”

The Score’s Danny Parkins Leads Fundraising of More Than $650,000 for Food Bank. The Athletes for Justice’s Austin Harvest food mart project was the beneficiary of WSCR, Chicago’s “What About Chicago Radiothon.” The Audacy sports talker helped raise more than $650,000 for the charity launched by former Chicago Bear Sam Acho and its mission to erase a food desert and build a permanent facility that can fully service the community and those in need. 670 The Score brand manager Mitch Rosen says, “What a tremendous 24 hours. ‘The Score’ asked and the audience delivered for Austin Harvest to build a permanent food mart. I can’t thank our dedicated listeners, our score team, Danny Parkins who led all of us, and Sam Acho enough. We’re so proud to help support a great cause. Thank you, Chicago.” Parkins adds, “That’s the Chicago that I know and love. We saw a problem and helped to solve. So, when people ask, ‘What about Chicago?’ I want people to tell them the story of Austin Harvest, Sam Acho and ‘670 The Score.’ Thank you to everyone who donated and helped us erase a food desert and fund the construction of a permanent facility for Austin Harvest.” Austin Harvest is in the Austin neighborhood of Chicago and was originally a pop–up food mart that was a converted liquor store. The mart addressed a food desert in the city and was staffed as an after-school program three days a week by local kids.

Radio’s weekly reach is now at its highest levels (121 million weekly consumers) since March 2020 when COVID-19’s impact began to take hold. Since the beginning of 2021, radio has added more than 5 million new weekly listeners. And in this week’s column, Cooke warns against typecasting the format as political talk: “If we learned one thing during the pandemic shutdown, it’s people’s appetite for ‘survival information.’” Read his column here.

Townsquare Media Q1 Net Revenue Down 5.1%; Digital Revenue Up 13%. Reporting its financial data for the first quarter of 2021, Townsquare Media reveals total net revenue was $88.8 million, a decline of 5.1% from the same period in 2020. The company’s net loss shrinks dramatically from $59.5 million in the first quarter of 2020 to $6.1 million in Q1 of 2021. Operating income also did an about-face, shrinking from a loss of $72.1 million in Q1 of 2020 to income of $8.8 million this year. Townsquare Media CEO Bill Wilson says, “We are extremely proud to report that Townsquare’s first quarter 2021 results approached, and in some cases exceeded, levels achieved in the pre-COVID first quarter of 2019, which surpassed our expectations and previously stated guidance. In the first quarter of 2021, net revenue declined -5% year over year, and -1.6% excluding political and Live Events net revenue. When excluding Live Events net revenue, first quarter net revenue increased +0.3% as compared to the first quarter of 2019. Total digital revenue growth accelerated to +13% year over year (+32% vs. Q1 2019), contributing nearly 49% of Townsquare’s total first quarter net revenue. Our digital revenue growth was fueled by Townsquare Interactive, our digital marketing solutions subscription business, Townsquare Ignite, our digital programming advertising platform, and Townsquare Amped, digital advertising on our owned and operated brands, which increased revenue year over year by +15%, +12%, and +11%, respectively. Impressively, TSI, Ignite, and Amped’s first quarter net revenue exceeded Q1 2019 revenue levels by +34%, +45%, and +15%, respectively. Over the next three years, we expect to grow our digital net revenue from $167 million (on a trailing twelve-month basis as of March 31, 2021) to $250 million. The strong growth of our digital revenue, together with our strong expense management, led to Adjusted EBITDA increasing nearly +30% over the prior year. I am especially proud to share that first quarter Adjusted EBITDA of $20.1 million is +$1.3 million, or +7%, higher than Q1 2019’s pro forma Adjusted EBITDA, and +$2.1 million, or +12%, higher when excluding profit from Live Events.”

Rudy Giuliani Says WABC Radio Disclaimer ‘Rather Insulting.’ Former New York City mayor and recent Donald Trump attorney Rudy Giuliani lashed out at Red Apple Media’s WABC, New York after the station aired a disclaimer at the end of a commercial break during Giuliani’s one-hour afternoon radio show on the station. On the heels of the announcement by voting systems firm Smartmatic that it is suing FOX News, some of its hosts, former Trump attorney Sidney Powell, and Giuliani for defamation for $2.7 billion, WABC added the disclaimer to his program that stated, “The views, assumptions and opinions expressed by former U.S. attorney, former attorney to the president of the United States, and New York City Mayor Rudy Giuliani, his guests and callers on his program are strictly their own, and do not necessarily represent the opinions, beliefs or policies of WABC Radio, its owner Red Apple Group, its other hosts or its advertisers.” Giuliani expressed his surprise at the disclaimer stating on the air, “I would have thought they would have told me about that before just doing what they just did. Rather insulting. And gives you a sense of how far this free speech thing has gone. And how they frighten everybody. I mean, we’re in America, we’re not in East Germany… They’ve got to warn you about me? I’m going to have to give that a lot of consideration. I also think putting it on without telling me ― not the right thing to do. Not the right thing to do at all.”

Holiday PPM Ratings Highs & Lows. TALKERS magazine managing editor Mike Kinosian today reports on Nielsen Audio’s Holiday 2020 PPM ratings and says, “Virtually nothing in any facet of life was ‘normal’ in the just-concluded calendar year, so it wouldn’t have been a monumental shock if Nielsen Audio’s Holiday 2020 numbers strayed from past scripts. Pandemic-caused modified radio listening habits, combined with a completely out-of-the-norm presidential campaign/election/aftermath, accounted for some strange wobbles compared to past Holiday survey periods. Donald Trump Resigns from SAG-AFTRA. As requested by the union after a Disciplinary Committee meeting, Donald Trump has resigned from SAG-AFTRA. However, the former president did not go quietly into the night. He wrote, in part, “Your organization has done little for its members, and nothing for me – besides collecting dues and promoting dangerous un-American policies and ideas – as evident by your massive unemployment rates and lawsuits from celebrated actors, who even recorded a video asking, ‘Why isn’t the union fighting for me?’ These, however, are policy failures. Your disciplinary failures are even more egregious. I no longer wish to be associated with your union. As such, this letter is to inform you of my immediate resignation from SAG-AFTRA. You have done nothing for me.” You can read the entire text of his resignation here. For its part, the union responded, “Thank you.”

O’Reilly Set To Land at WABC? It certainly looks as though former Fox News host Bill O’Reilly could soon be in-place to join Red Apple Media New York City’s WABC “Talk Radio 77.” O’Reilly’s attorney, Fred Newman – through his assistant – tells CNBC, “We are in the final stages of a contract and a program should be on in the fall.” O’Reilly’s representative also confirmed the talks were being held with WABC, which New York businessman John Catsimatidis acquired from Cumulus Media in June 2019. Catsimatidis tells CNBC, “I will confirm that; I think he is one common-sense American.” The 70-year-old O’Reilly has been accused by multiple former Fox News employees of sexual harassment. The network ended his “O’Reilly Factor” show three years ago, after the revelation of several costly settlements for the alleged harassment. His follow-up “No Spin News” airs on his website; YouTube; and The First, a conservative streaming channel. O’Reilly has been maintaining a strong radio presence on Key Networks’ syndicated daily feature “The O’Reilly Update,” which has roughly 225 affiliates. WABC’s current weekday lineup consists of: “Red Eye Radio” (1:00 am – 5:00 am); “Fox News Run Down” (5:00 am – 6:00 am); “Bernie & Sid” (6:00 am – 10:00 am); Brian Kilmeade (10:00 am – 12:00 noon); “Curtis & Juliet” (12:00 noon – 3:00 pm); Rudy Giuliani (3:00 pm – 4:00 pm); Ben Shapiro (4:00 pm – 6:00 pm); Mark Levin (6:00 pm – 9:00 pm); and John Batchelor (9:00 pm – 1:00 am).

WBT, Charlotte Morning Host Pat McCrory is this Week’s Guest on Harrison Podcast.  Former North Carolina governor turned WBT, Charlotte talk show host Pat McCrory is this week’s guest on the award-winning PodcastOne series “The Michael Harrison Interview.”  McCrory is heard weekday mornings on the Entercom-owned heritage station with co-host, newsman Bo Thompson, 8:00 – 10:00 am on a highly-rated show that addresses local, regional and national topics along with a blend of pop culture items and a heavy dose of “fun.”  He has successfully held that position since 2017 after serving a four-year term as the Republican governor of North Carolina.  His gubernatorial service was a wild ride during which he garnered a tremendous amount of national attention, both positive and negative, due to the controversy surrounding his signing of the Public Facilities Privacy & Security Act – also referred to as”HB2″ – and became embroiled in the issue of transgender use of public rest rooms.  There was a political backlash against that move which resulted in North Carolina being the target of numerous economic boycotts that resulted in the loss of revenue and jobs for the state.  McCrory, who refers to himself as one of the first victims of the “cancel culture,” lost his bid for re-election following that episode by a razor thin margin.  Prior to that, he had a long track record of being one of North Carolina’s most popular political figures.  Before being elected Governor, he served seven consecutive terms as mayor of Charlotte and presided over the Queen City’s notable growth as a business and cultural center during that period.  Harrison and McCrory candidly discuss a variety of topics from the impact of hyper political correctness on public discourse to current political issues.  Don’t miss this!  To listen to the podcast in its entirety, please click here or click on the player box marked “The Michael Harrison Wrap” located in the right-hand corner on every page of Talkers.com.

Bubba Launches New Podcast – Inks with Crossover Media Group Sales for Ad Representation.  One of the most colorful and, at times, controversial personalities in the talk radio industry, Tampa-based Bubba Clem, is on a positive roll with a revamped nationally syndicated show, “The Bubba Army,” and a brand new podcast titled “The Bubba Army Podcast.”  One of the industry’s fasted rising rep firms, NYC and LA-based Crossover Media Group Sales, has announced signing the podcast to its growing roster of programs. Dropping his longtime “Love Sponge” moniker, Clem now goes by the mononymous handle “Bubba” and has evolved into a more “polished” performer on both his syndicated show and new daily podcast focusing on top-tier guests and pertinent commentary.  The radio show and new podcast are produced and syndicated by his in-house Bubba Radio Network.  Bubba tells TALKERS, “We’re looking forward to delivering a guest-driven podcast that is fresh, current, relevant and that will become a daily destination for folks who want to have a little fun.” Commenting on his new podcast sales deal, Bubba adds, “The Crossover Media team has a great track record; they know the advertising marketplace and they’ve assembled a powerful portfolio of programs.  It’s great to be working with them.” Bubba’s daily morning show is carried on radio stations in Tampa, Orlando, Gainesville, Charleston, Pittsburgh, Detroit, Phoenix and more.  It has a significant social media presence and is carried as an audio and video program on Twitch which confirms it is that platform’s number one radio show.  “Over his decades on air, Bubba has regularly shaken up the audio landscape and, along the way, he has attracted a massive and loyal listenership and high-profile celebrity guests who understand the power of his platforms,” says Sue Freund, Crossover Media Group Sales managing member. “And now Bubba brings that loyal audience to an entirely new, highly polished and potentially game-changing podcast that promises to take him to new heights.  Whether they’re fans or not, people are talking about Bubba – and we expect they’ll be talking about him even more once they hear the new podcast.”

Edison Research Ranks Top 30 Q3 2019 – Q2 2020 Podcasts. As it has been since Edison Research’s “Podcast Consumer Tracker” (PCT) was established last summer, “The Joe Rogan Experience” continues to be America’s number one podcast. Edison Research senior vice president Tom Webster states, “Even with the work and life disruptions caused by COVID-19, people did continue listening to their favorite podcasts. We ultimately saw little to no reduction in reach among weekly podcast listeners.” The PCT Top 30 ranker is based on 8,080 online interviews with weekly podcast consumers (18+) in the United States. Interviews were conducted in English and Spanish. Sampling was conducted continuously from July 7, 2019 to June 24, 2020.The top five podcasts include: “The Joe Rogan Experience”; “The Daily”; “This American Life”; “My Favorite Murder”; and “Crime Junkie.” All respondents were instructed to enter the names of all podcasts they listened to the week before the interview into an online diary and were provided instructions to obtain that information from their podcast client/player of choice.
