WMAL-FM’s Larry O’Connor Joins Salem News Channel for Prime Time Show. WMAL-FM, Washington morning drive personality Larry O’Connor is joining Salem Media Group’s OTT television network Salem News Channel to host a 9:00 pm ET show titled, “O’Connor Tonight.” O’Connor will be joined by top writers and editors from Salem’s Townhall.com where O’Connor also serves as a senior columnist and creative director. He says, “Salem News Channel represents the future of news content, going over the heads of the legacy media model and delivering informative, vital content directly to a passionate and informed audience. I am thrilled and honored to be affiliated with this dynamic company and am confident that ‘O’Connor Tonight’ will be an entertaining and relevant part of our daily American conversation.” Salem Media Group SVP of spoken word Phil Boyce comments, “Larry brings a wealth of experience and credibility to SNC and we are thrilled he has chosen to join us as we build this network. Adams Radio Group Acquired by Adams Radio Acquisition Co., LLC.  This deal – expected to be completed by the end of this year – has Adams Radio Group being acquired by Adams Radio Acquisition Co., LLC.  This new entity is controlled by shareholders that were investors in Adams Radio Group when the group was originally formed in 2013. The company will continue operating under the Adams Radio Group banner. Adams president and CEO Ron Stone says, “I am grateful to [chairman and majority owner of the ownership group] Steve Adams for the opportunity to build a second Adams Radio Group. I served as Steve’s CFO in the original Adams Radio Corporation and had my first opportunity as a GM at KEZK, St Louis. The opportunity to work with Steve a second time and build a new group was a dream come true for me. We formed Adams in 2013 and it has been an incredible experience and I have been surrounded by some of the brightest people in the business. I look forward to seeing the company continue to grow and our most dedicated staff prosper under the new ownership and leadership.” Adams Radio owns and operates 18 stations in four markets. The press release states that sources close to the new shareholders say “plans are to continue to build upon the past 10 years and add new markets as opportunities present themselves.” Sharon Bordwell continues with the new company as CFO.  Ron Stone will continue to manage the group until closing. Stone says he expects to be busy for a few months post close wrapping up old company business and plans to take some time to assess new opportunities that will enable him to continue to make contributions to the radio industry, including continuing as president and executive director of the Independent Broadcasters Association. Kalil & Co Inc. was the exclusive broker on this transaction representing Adams Radio Group.

McFarlands Show to Launch on WNSR, Nashville. The Tennessean reports that Southern Wabash Communications’ sports talk WNSR-AM/W240CA, Nashville is launching a new mid-afternoon program starring radio pro Darren McFarland and television personality Justin McFarland, titled, “The McFarland Show with Darren and Justin.” The 2:00 pm to 4:00 pm show will debut on Monday (10/3). Darren McFarland previously served with Cromwell Media’s crosstown sports talker WPRT-FM “The Game 102.5 FM” and has been the Nashville Predators radio studio host since 2013. Justin McFarland is a morning reporter for WZTV-TV “FOX 17 News.” WNSR general manager Ted Johnson states, “It’s great having two such talented, experienced and wonderful people joining our crew. Darren and Justin will make a great team that listeners will gravitate to and enjoy. They’ll be a great complement to our daily lineup.” The two fill the slot left open by Tennessee sports personality George Plaster’s exit from the station in April of this year.

‘The Trap Nerds’ Episode to Take Place in iHeartLand on Roblox. The podcast The Trap Nerds – a collaboration between iHeartMedia and Charlamagne Tha God’s The Black Effect Podcast Network – debuts a special metaverse episode event in iHeartLand on Roblox, streaming for users on the main stage at State Farm Park. During this inaugural podcast event, hosts Dre, Eli, Tony and Exavier will discuss the last book they read, what it means to be a Black nerd (“Blerd”), Dragon Ball Z and more. iHeartLand visitors on Roblox will experience the event beginning today (9/29) and run for 48 hours through Saturday. This will be followed by an iHeartLand encore event in Fortnite beginning October 13 at 7:00 pm ET through October 19.

The Washington Examiner’s Juliegrace Brufke reports that Salem Radio Network talk host Sebastian Gorka hopes to be involved with any investigation into Hunter Biden that might take place if Republicans take control of the House after November’s elections. The story indicates Gorka met with U.S. Rep Matt Gaetz (R-FL) “on Wednesday as the Florida Republican attempts to recruit the controversial conservative pundit to become a staff director if a select committee is formed to examine the business dealings of President Joe Biden’s son, according to one source familiar with the meeting.”…..Red Apple Audio Networks, the syndication arm of John Catsimatidis’ Red Apple Media, owners of WABC, New York announces it has surpassed 100 affiliates across the country since it launched in February. The network’s roster consists of eight shows and features currently running on WABC, including Catsimatidis’s “The Cats Roundtable” and “The Other Side of Midnight with Frank Morano.”…..Television and radio pro Corny Koehl – formerly a programmer at ABC Radio Networks and former executive producer of Premiere Networks’ “The Dr. Laura Show” – is producing a weekly, short-form political satire podcast titled, “Thorn in the USA,” that she calls “an effort to counter the propaganda from elected officials on the far right.” It “centers on fictional host, Margaret Penelóp Taylor, aka Rep. Marjorie Taylor Greene’s #1 fan girl/unofficial MTG whisperer. A self-described ‘Christian Nationalist’ and ‘Pro-Putin Pawn,’ Penelóp pours fuel on the culture wars and casts aspersions on her ‘libtard’ opponents. The second half of October will see the Salem Media Group talk radio hosts tour the battleground states to “assist listeners and voters to understand how important it is that they get out to vote as well as vote with an understanding of the issues, and the candidates that will be leading our government.” Dubbed the Battleground Talkers Tour 2022, Salem hosts Dennis Prager, Charlie Kirk, Dr. Sebastian Gorka, Mike Gallagher, Eric Metaxas, Brandon Tatum, and Hugh Hewitt will hit tour stops in Tampa on October 16, Orlando on October 17, Atlanta on October 18, Philadelphia on October 19, Pittsburgh on October 20, Columbus on October 21, Cleveland on October 22, and Phoenix on October 23 where Salem news/talk stations will host the events. Radio programming pro Clay Church joins Alpha Media as operations manager for the company’s Dayton and Canton, Ohio clusters that include news/talk WHBC-AM Canton and sports talk WING-AM, Dayton, plus five music brands. Church was most recently director of content and operations at Townsquare Media’s Flint, Michigan operations. Good Karma Brands Madison market manager Tom Olson says, “Our ‘ESPN Madison’ team is thrilled to have Keeanu Benton join us this football season. Holland Cooke’s Inflation Hacks Now an Online Course at CECNA. The e-book Inflation Hacks: Save Those Benjamins by media consultant Holland Cooke has become an online course from the Washington-area-based nonprofit Consumer Education Council of North America. CECNA founder and chairman Jim Hood says, “Inflation is like climate change: It’s a big problem that everybody talks about although no one seems to have the solution. But broadcast personality Holland Cooke has researched it and come up with a list of everyday steps that consumers can use to trim hundreds of dollars from their monthly budgets. He’s assembled his thoughts in a CECNA Learning Center course called ‘Inflation Hacks: Save Those Benjamins.’ The title refers, of course, to Benjamin Franklin, whose image adorns the $100 bill and who once cautioned, ‘Beware of little expenses. Dave Tepper to Program iHeartMedia’s KOA, Denver. Heritage talk outlet KOA-AM/K231BQ, Denver “Colorado’s News, Talk & Sports Station” has a new program director as iHeartMedia names Dave Tepper to the post. Tepper most recently served with KSE Radio’s crosstown sports talk KKSE-AM/FM “Altitude Sports Radio” as program director and operations manager for classic hits KXKL-FM and hot AC KIMN-FM. In his new role with iHeartMedia, Tepper will oversee KOA, the Rockies Radio Network and Broncos Radio Network and will lead and manage all aspects of the on-air experience, including talent, content, programming, and online presence. Tepper comments, “I’m thrilled and humbled by the opportunity to take the legendary KOA brands to new heights, including the game-changing chance to work with the Broncos, Rockies and Colorado Buffaloes radio networks. Salem Brings Haley Bianco Aboard for News on OTT TV Network. Television news pro Haley Bianco joins Salem Media Group as the company makes her the first news anchor on its OTT Salem News Channel. In this role, Bianco will do news capsules at the top and bottom of the hour, between 5:00 pm and 10:00 pm weekdays. Salem says Bianco is the first of several anchors joining the network. Bianco joins Salem News Channel from WICZ-TV “FOX 40” in Binghamton, New York, where she served as managing editor and primetime anchor. Salem broadcasts shows hosted by Andrew Wilkow, Brandon Tatum, Dinesh D’Souza, and Eric Metaxas during the 5:00 pm to 10:00 pm daypart. Salem SVP of spoken word Phil Boyce states, “Haley brings a wealth of TV news experience to SNC and will give us the news credibility we are looking for as we continue to grow and expand our emerging TV network.”

Bill O’Reilly’s Killing the Killers Debuts at #1. This new book is the 11th in the “Killing” series and it’s the 11th to be a #1 New York Times bestseller. Sales in this series are roughly 19 million copies worldwide and have spent close to 340 weeks on the New York Times bestseller list. In the new book, Killing the Killers – The Secret War Against Terrorists (2022 St. Martin’s Press) Bill O’Reilly and Martin Dugard report on America’s intense global war and manhunt against terrorist extremists who both masterminded the horrific 9/11 attacks as well as executed hundreds of others on American and international soil. Salem: 2000 Mules is Most Successful Political Documentary in a Decade. The new film, 2000 Mules, from director Dinesh D’Souza and executive producer Salem Media Group is being billed by Salem as “the most successful political documentary in a decade.” Salem says that 1 million people have seen the movie – available for download and DVD purchase on SalemNOW.com – and has become a huge hit on Rumble and its Locals platform. D’Souza says, “The movie is a success financially for sure, but also it is successful in its political and cultural influence. It’s the most-talked-about movie out there right now, making headlines in multiple publications, and is trending extremely high on social media.” The film purports to provide proof of illegal ballot harvesting, both in geo-targeting of cell phone data, and in actual video surveillance of the many unmanned ballot boxes in the five key battleground states. The movie’s conclusion of illegal ballot harvesting is based on research by True The Vote. It features five Salem radio talk show hosts as they walk through the process of learning what the evidence shows, and then discussing what this means for the American belief in free and fair elections. Salem says those hosts, Dennis Prager, Sebastian Gorka, Charlie Kirk, Eric Metaxas and Larry Elder, all came away disturbed at what they learned really happened to hand the election victory to Joe Biden.

Urban One First Quarter 2022 Net Revenue Rises 23%. Reporting financial data for the first quarter of 2022, Urban One, Inc. – parent of Radio One – says its net revenue was approximately $112.3 million, an increase of 23% from the same period in 2021. Broadcast and digital operating income was approximately $48.4 million, an increase of 33% from the same period in 2021. Net income was approximately $16.4 million or $0.32 per share (basic) compared to $7,000 or $0.00 per share (basic) for the same period in 2021. Urban One CEO and president Alfred C. Liggins, III, states, “We had extremely strong first quarter performance across the platform, with advertising revenues up double-digit percentages in all of our operating segments. Digital revenues were up 49.5%, cable TV advertising revenues were up 46.9%, and radio advertising, excluding political and digital, was up 17.4%. This enabled us to grow Adjusted EBITDA by 38.9% year-over-year, and by $14.3 million or 51.6% vs. Q1 2019. Looking back at pre-pandemic revenues, when we aggregate our radio broadcasting, syndication, events and digital operations, net revenues were up 11.5% compared to Q1 2019. Second quarter core radio advertising is pacing up mid-single digits, as we start to lap the tougher comps from 2021. Our balance sheet continues to strengthen, with $166.4 million of cash and net leverage down to 4.07x.”

 

Cumulus Announces $25 Million Stock Buyback. On the heels of yesterday’s first quarter financial report and the board’s authorization of a $50 million buyback program, Cumulus Media Inc. announces its intention to commence a “modified Dutch auction” tender offer to purchase up to $25 million of shares of its Class A common stock, or such lesser number of shares of its Class A common stock as are properly tendered and not properly withdrawn, at a price not greater than $16.50 and not less than $14.50 per share of Class A common stock, to the tendering shareholder in cash, less any applicable withholding taxes and without interest (the “Offer”). Cumulus president and CEO Mary G. Berner says, “Following yesterday’s announcement of the board’s authorization of a $50 million share buyback program, we are launching this tender as a first step in our capital return plan. This action is underpinned by our strong financial and operating momentum, our continued belief that the company is significantly undervalued and our desire to allow shareholders who seek it the ability to take advantage of the liquidity we can provide them. It is also our expectation that, even with this tender offer, we will be below our target of 3.5x net leverage by year end with significant continuing liquidity and financial flexibility for accretive M&A.” Cumulus will conduct the Offer by means of a procedure commonly called a “modified Dutch auction.” This procedure allows shareholders to select the price, within a price range specified by Cumulus, and the number of shares they are willing to sell at that price (or, should a higher price be determined as the “purchase price,” such higher price). The Offer is being made under Cumulus’s previously announced $50 million share repurchase program.

 

Saga Communications Net Revenue Increases 12% in Q1 of 2022. For the first three months of 2022, Saga Communications, Inc. net revenue increased 12% to $25 million compared to $22.3 million for the same period in 2021. Station operating income increased 17.8% to $5.6 million and operating income was $1.7 million compared to $883,000 for same period a year ago. Saga reports net income of $1.2 million compared to net income of $758 thousand for Q1 of 2021. The company paid a quarterly dividend of $0.16 per share on April 8, 2022. The aggregate amount of the quarterly dividend was approximately $970 thousand. Additionally, the company paid a quarterly dividend of $0.16 per share and a special dividend of $0.50 per share on January 14, 2022. To date Saga has paid over $78 million in dividends to shareholders since the first special dividend was paid in 2012. Saga Communications reports that it had $55.2 million in cash on hand as of March 31, 2022.

 

Russia-Ukraine War Correspondent Gregg Stebben is This Week’s Guest on Harrison Podcast. Veteran media editor/reporter Gregg Stebben is this week’s guest on the award-winning PodcastOne series, “The Michael Harrison Interview.” Stebben is a former longtime editor of Men’s Health magazine who served 20 years as its radio spokesperson. He is currently reporting on a volunteer basis back to the U.S. via the beamz.live platform from Poland and Ukraine where he has been interviewing refugees and local citizens in both adjacent nations in addition to doing whatever he can to provide comfort and support to the frightened, displaced people in conjunction with international humanitarian groups. The premiere of Dinesh D’Souza’s documentary film 2,000 Mules took place last night (5/4) at Mar-a-Lago in Palm Beach, Florida as former president Donald J. Trump presided over the event. The film was executive produced by Salem Media Group and a number of its current and former talk hosts appear in the documentary. WCKG-AM, Chicago Owner Buying Time on WLS-AM to Reach Voters for U.S. Senate Campaign. Chicagoland radio station owner Matt Dubiel – whose company DuPage Radio LLC owns and operates talk outlet WCKG-AM, Elmhurst – is running for the U.S. Senate as a Republican and is taking an interesting tack in his campaign. He says in a press release that “in the spirit of former presidential candidate and businessman Ross Perot, Illinois businessman Matt Dubiel has purchased airtime on Cumulus Media news/talk WLS 890-AM.” He will host a two-hour show every Saturday afternoon from 3:00 pm to 5:00 pm until the primary election on June 28. Dubiel adds, “Nothing can replace the reach of radio. I’m consistently being shadow-banned on social media, corporate media refuses to cover my campaign, and the issues we need to discuss like CRT/SEL in schools, medical freedom, and other hot topics are virtually banned on social platforms that censor We the People, in America! The Illinois GOP even has me blocked on Twitter, and I’m running on their ticket! Hosting my own show on the radio home of Bongino, Shapiro, and Levin will allow Dubiel to speak directly to the people. The people in every county across Illinois need to know they have a guy who will actually represent them for a change. I am looking forward to talking to ALL Illinoisians about the issues that matter to them.” The 45-year-old Dubiel says he began his career in radio at 17, interning for the legendary Steve Dahl. Townsquare Media Reports 2021 Q4 Net Revenue Up 1.9%; Full Year Net Revenue Rises 12.6%. The 2021 fourth quarter and 2021 full year financial report from Townsquare Media reveals Q4 net revenue of $110.6 million, an increase of 1.9% over the same period in 2020. For the full year of 2021, net revenue was $418 million, up 12.6 % over the full year of 2020. Townsquare Media reports its financial information in three primary segments: 1) Subscription Digital Marketing Solutions, which includes the company’s subscription digital marketing solutions business called Townsquare Interactive. 2) Digital Advertising includes the digital advertising business sold as Townsquare Ignite, and 3) Broadcast Advertising includes the company’s local, regional, and national advertising products and solutions delivered via terrestrial radio broadcast, as well as other miscellaneous revenue that is associated with the broadcast advertising platform. Company CEO Bill Wilson says, “Beginning with our 2021 year-end reporting, we have re-segmented our business to provide greater visibility for our existing and prospective investors. Importantly, this re-segmentation will highlight the profit characteristics of our digital platform, which is essentially equal to those of our broadcast platform, each with profit margins of approximately 30%. Given this new and more detailed information, Townsquare should be viewed and valued as a Digital First Local Media Company, rather than being painted with a traditional broadcast radio brush. While we view local radio as an extremely valuable asset with significant and attractive cash flow properties, unparalleled consumer reach, and an important and trusted local connection to our audience, it is not our primary growth driver. Our growth engine is and will continue to be digital, which fueled our transformation into a Digital First Local Media Company. With nearly half of our total revenue and profit coming from digital today, we have a strong growth engine that will drive significant and consistent growth in the coming years. It is our hope and expectation that given this new more detailed information, Townsquare will be afforded a sum-of-the-parts valuation that gives credit to our digital assets, credit which to date we have not received.” For the full year of 2021, Townsquare reports net income of $18.8 million, compared to a net loss of $80.6 million reported for the full year 2020, which the company says was primarily driven by approximately $109.1 million of non-cash impairment charges, primarily related to its FCC licenses.

 

Saga Communications Q4 Net Revenue Flat; 2021 Full-Year Net Revenue Up 13.1%. The company reports 2021 fourth quarter net revenue of $29.2 million, basically flat compared to the $28.8 million reported for the fourth quarter of 2020. Net income for Q4 of 2021 was $3.7 million compared to $2.3 million reported for the same period in 2020. For the full year of 2021, Saga Communications reports net revenue increased 13.1% to $108.3 million compared to $95.8 million for the full year of 2020. The company reports net revenue for 2021 of $11.2 million compared to the net loss of $1.9 million reported for the full year of 2020. Saga says its balance sheet reflects $54.8 million in cash on hand as of December 31, 2021 and $56.2 million as of March 7, 2022.

 

KOA, Denver Morning Personality April Zesbaugh Announces Retirement. “Colorado’s Morning News” co-host April Zesbaugh announces that she’s retiring from iHeartMedia’s news/talk KOA, Denver in the coming months after a 30-year broadcast journalism career that includes 25 years with KOA. Zesbaugh has co-hosted “Colorado’s Morning News” since 1996 and is one of the longest running news personalities in Colorado. She comments, “Despite my 2:30 am wake-up call for the last 30 years, I feel very fortunate for every second in front of the KOA microphone. It’s time to hang-up my headphones to pursue more family time, play more tennis, travel in our RV and see what it feels like to sleep without an alarm clock.” Zesbaugh is the winner of one national and numerous regional Edward R. Murrow Awards for journalism excellence by the Radio Television Digital News Association, as well as countless awards for “Colorado’s Morning News” from the Colorado Broadcasters Association and the Associated Press. She has also been an influential member of the Denver community and has emceed numerous charity events, including those focused on mental health, Alzheimer’s disease, the challenges of single mothers and animal rescue. KOA program director Greg Foster says, “April is one of the most recognizable and popular voices in Colorado and has set a professional standard which has contributed to the success of KOA. JVC Broadcasting: ‘Radio is Working and Radio Works!’ Long Island-based JVC Broadcasting is sending a message to the industry – and beyond – that its recent hiring spree shows that the radio market is a good place for job seekers. JVC says that this January, it began a massive recruitment campaign using its local radio stations and social media platforms and the response was overwhelming. JVC announces that is has hired or internally promoted 16 media and entertainment professionals companywide.
