LiveXLive Acquiring PodcastOne in All Stock Deal. The digital media firm LiveXLive Media, Inc. has signed a definitive agreement to acquire Courtside Group, Inc., the owner and operator of PodcastOne in an all stock deal. The press release states that the transaction is valued at $18.1 million based on LiveXLive’s closing price on May 7, 2020. LiveXLive will acquire 100% of the equity interests of Courtside Group, Inc. and issue to stockholders of PodcastOne approximately 5.45 million restricted shares of LiveXLive’s common stock, which would be subject to a 12-month lock-up period and certain trading restrictions thereafter. The proposed acquisition is expected to close by June 2020, subject to certain closing conditions. PodcastOne recorded gross revenue of $27.5 million in calendar year 2019. LiveXLive chairman and CEO Robert Ellin says, “We’re excited to expand our business into the fast-growing podcast category, complementing our music platform of streaming audio, on-demand video, and live event performances. The acquisition will add to and diversify our revenue with a strong advertising component. Once acquired and integrated, we will have a significant opportunity to cross-sell and cross-promote to our respective subscribers, advertisers, and sponsors as well as provide our collective artists and on-air talent with an expanded platform to increase their social media and online presence.” PodcastOne founder and executive chairman, Norman Pattiz is joining LiveXLive as a significant shareholder and remains as executive chairman of PodcastOne. Pattiz comments, “All of us at PodcastOne are excited about joining the LiveXLive team and taking advantage of obvious future synergies between our businesses. I look forward to working with Rob Ellin to close the acquisition and achieve the growth we both envision. PodcastOne is a premium producer, distributor, and revenue-generator for audio-on-demand programming. PodcastOne’s well-established podcasting business is an excellent complement to LiveXLive’s  ‘live social music network,’ delivering premium livestreams, digital audio, and on-demand music.”

iHeartMedia’s Q1 Revenue Down 1.9%. After a strong financial performance in January and February, the COVID-19 pandemic took its toll in March and iHeartMedia finished the first quarter of 2020 with revenue of $780 million, down 1.9% over the same period in 2019 (and down 4.8% excluding political). The company reports an operating loss of $1.7 billion, “driven primarily by non-cash impairment charges” that “reduce intangible asset and goodwill book values established in May 2019 upon required application of fresh start accounting where the macroenvironment was significantly different than today.” Adjusted EBITDA was $140.3 million, down 10.6% year-over-year. Free cash flow from continuing operations was $69.9 million, a decrease of $43.8 million or 38.6%. iHeartMedia chairman and CEO Bob Pittman says, “As America’s #1 audio company, with unparalleled reach both nationally and locally, we play a critically important role in providing companionship, connection and key information to all the communities we serve, and we are incredibly proud of our employees’ commitment to that mission in response to the COVID-19 pandemic. Edison Research: U.S. Moms Relying More on Tech. This latest installment of Edison Research’s “Moms and Media 2020” study includes data from The Infinite Dial series from Edison Research and Triton Digital, and a recent online survey conducted during COVID-19 restrictions. The report highlights how moms with kids under the age of 18 in the household continue to hold tight to their tech tools while sheltering at home, and they are relying on their technology and media to get through the day. Edison VP Melissa DeCesare says, “This virus has turned life upside down and parents have the added pressure of guiding children through this unsettling time.  Moms are masters at balancing tasks in normal circumstances, but they have found even more capacity to multi-task in this pandemic. Additional responsibilities like distance learning and managing the family dynamic while in isolation are increasing the need for media and technology in the home. This year’s study shows us that moms are meeting these challenges by relying on media, devices and technology to help them get through this new normal.” Some of the findings are: Moms are using their devices more during the COVID-19 pandemic. Working remotely, helping children with distance learning, and keeping in touch with friends and family are driving heavier use of all digital devices; Moms are facilitating distance learning with 54% of moms saying they are spending a lot of time helping their children with distance learning; Moms are using social media with 39% agreeing that social media is the main source for staying up to date on the COVID-19 pandemic in their community and 56% of moms say that they are grateful for social media during the pandemic; and while it is unknown how long this new normal will last, nearly 4 in 10 moms think their current media habits will stay with them even after it is over. Three Entercom Podcasts Nominated for Peabody Awards. The nominations for Peabody Awards have been announced and three podcasts from Entercom’s Podcast Network are included among the nominees. “Headlong: Running from COPS” and “The Catch and Kill Podcast with Ronan Farrow” from Pineapple Street Studios, and “Gangster Capitalism, Season One: The College Admissions Scandal” from Cadence13’s C13Originals studio were nominated. Winners will be announced at a later date. The number of confirmed COVID-19 cases and deaths in the U.S. and the projections for future cases was the most-talked-about story on news/talk radio this week, landing atop the Talkers TenTM. At #2 this week was the state of the U.S. healthcare system.  Coming in at #3 was a tie between the economy, the debate over re-opening, and criticism of the airlines, followed by the presidential race, politics, and the Michelle Obama film at #4. Fellow artists will share their favorite holiday memories and summer activities throughout the special, including: Luke Bryan, Florida Georgia Line, Thomas Rhett, Kelsea Ballerini, Little Big Town, Keith Urban, Kenny Chesney, and Carrie Underwood. BOSTON — Again this year, just in time for Mother’s Day, Edison Research and Triton Digital update their “Moms & Media” study.  Edison VP Melissa DeCesare led Thursday’s webinar through survey data from 248 moms – women with at least one child living at home – interviewed for her company’s ongoing “Infinite Dial” study.

Because Mom is The Secretary of The (family) Treasury, this sample is of real interest to radio:

  • 66% interviewed were 35+
  • 53% work full-time, 14% are employed part time, 19% are homemakers.

cumulus logoCumulus Media’s 2016 Q1 Net Revenue Down Slightly; Challenging Quarter for Westwood One.  New CEO Mary Berner says that her company is in the “early stages of a multi-year turnaround.”  The first quarter saw Cumulus Media’s net revenue reach $268.5 million, that’s down just 0.9% compared to the same period in 2015.  Adjusted EBITDA was $41.9 million, a dip of 6.1% year-over-year.  Berner says, “Our first quarter results and second quarter pacings are consistent with the considerable challenges we must overcome.  However, we are seeing some signs of progress in each of our turnaround initiatives – enhancing operationalbernermary blocking and tackling, instituting a strong and positive culture, and driving improved ratings.”  It was not a good quarter for Westwood One.  Unlike iHeartMedia, which reported growth in its syndication sector (especially in the news/talk realm) during Q1, net revenue for Westwood One was $91.5 million – down 3.2% from the same period a year ago.  And Westwood One has exclusive national radio rights for the NFL and the NCAA Men’s Basketball tournament, both of which took place during the first quarter.  Berner tells investors on Thursday’s conference call that decline at WW1 was the result of “a noteworthy falloff in scatter demand as the quarter progressed.”  She continues, “Westwood One is facing difficulties in the second quarter, currently pacing down high-single digits, with virtually all upfront account in at this stage we saw a pretty meaningful weakening demand in the scatter market with limited dollars in the pipeline in relation to what we saw during the same period a year prior.  While some of this weakness appears to be market driven, our challenges in the network have some unique elements which will take more time to address, given the new leadership of the business and the much longer sale cycle.  At this stage, we’re working to tactically influence the back half of the year while more strategically positioning the business for the 2017 upfront cycle.”  Thanks to Seeking Alpha for the transcript of the conference call.  Members can read the whole transcript here.

ewscrippsE.W. Scripps Reports Radio Segment Down 4.6%.  The first quarter of 2016 resulted in radio revenue of $14.6 million for E.W. Scripps – that’s a decrease of 4.6% from the same period in 2015.  In the company’s financial report, it states guidance for the second quarter of this year appears similar: Radio revenue is expected to be down in the mid-single digits.  Segment profit in the radio division was $2.1 million in the first quarter of 2016, about flat with the 2015 quarter.  The company’s television and digital segments were both up over the same period in 2015.

momsmedia16Analysis: 2016 Moms & Media.  Media consultant Holland Cooke took in Thursday’s webinar from Edison Research (sponsored by Triton Media) in which Edison VP Melissa DeCesare presented data from the company’s 6th annual “Moms & Media” study.  The good news for radio is that 77% of moms use radio weekly (either AM/FM or online).  Moms are very connected with 91% owning a smartphone.  For moms, online listening averages 12 hours and 19 minutes per week but 46% of that TSL is added media consumption time – it’s time that’s not taken from another medium.  For more about the media habits of this demographic – one that often is in charge of much of a family’s decision making – click here.

weismanstevenYour Station Is in Danger of Being Hacked.  TALKERS magazine legal editor Steven J.J. Weisman warns station operators of the new and insidious ways in which your radio station could easily be hacked.  Chances are you’re aware of recent stories about hospitals being made victims of ransomware.  They were forced to pay the hackers ransom in order to regain control of their computer systems.  As Weisman writes, ways of preventing this crime – or others like it – happening to your station exist and are affordable, but the first step begins with your employees.  Read this insightful column here.

Odds & Sods.  Nationally syndicated super star Rush Limbaugh and Mahindra USA are again honoring thelimbaughrush service and sacrifice of U.S. military personnel via the program’s Mahindra Military Salute Giveaway promotion.  This is the third annual Mahindra giveaway.  Last year, more than 6,500 service men and women entered the contest and Retired Army Colonel Shep Snow of Sagle, Idaho won a Mahindra eMax 22HST tractor with loader.  All current and former military service members are eligible to enter to win this year’s prize: a Mahindra mPact® XTV 750S utility vehicle in camo.  Entries are being accepted between May 2 and May 29.  The winner will be selected in a random drawing on May 31…..Pacific Palisades resident and Weiss Agency founder Eric Weiss recently won a contest to give the official slogan to the town’s Fourth of July Parade.  Weiss – who confesses to the Palisades News that he’s always loved slogans – heard about a contest to give the parade a theme being orchestrated by the paper.  He brainstormed and came up with the winner: “Independence Day – the Palisades Way.”  The Weiss Agency represents numerous radio leykisbillboard16kentperformers…..When Tom Leykis put up the second billboard of 2016 in the Los Angeles area promoting his internet program and ran a contest to reward a listener for being the first to see it, he never though it would be “Adam-12” star Kent McCord.  But, it was!  Leykis tells TALKERS magazine, “We put up our second Tom Leykis show billboard somewhere in the LA area and had a listener contest.  First listener to find and submit the billboard along with its specific location would get a free, one-year subscription to our on-demand library.  This time, we told them, it’s not on a freeway, but it is in a prominent location.  It only took a couple of days before we had a winner.  But we were blown away by who the winner was.  McCord submitted the photo you see here saying he was strolling down the Sunset Strip when he saw the billboard on the south side of Sunset Boulevard…..Music Ventures Inc.-owned news/talk KFKA, Greeley, Colorado is holding its third annual 1310-a-Thon in conjunction with The United Way of Weld County.  On Thursday, May 26, the station will speak with United Way of Weld County staff members, volunteers, board members and those impacted by what the United Way does to raise funds for the charity.
