Talent Moves at KMOX and KFTK-FM; FM Translator Added to KMOX Signal. Two of St. Louis’ afternoon talk radio pros are swapping stations as Entercom moves longtime KFTK-FM afternoon drive host Dave Glover across the hall to KMOX-AM for the 2:00 pm to 6:00 pm daypart. He fills the time that included the Mark Reardon show (2:00 pm to 4:00 pm) and the station’s newsy “Total Information PM” program (4:00 pm to 6:00 pm). As part of the change, Mark Reardon moves to KFTK-
FM to host the 3:00 pm to 6:00 pm show. KFTK-FM will air a “Best of Glover” hour from 6:00 pm to 7:00 pm. These changes take place on March 22. On that same date, FM translator K254CR at 98.7 will shift from airing KFTK’s signal to simulcasting KMOX’s signal. Entercom says the translator will allow KMOX to be heard on FM in the city’s business district, including downtown, Clayton, midtown, Creve Coeur, Maryland Heights and Kirkwood. KMOX brand manager Steve Moore says, “Our goal is to serve as the voice of the entire community. It’s important
that KMOX is available on multiple platforms in order to keep the listeners in the business district informed with the latest news throughout the city.” Speaking about the changes, Entercom St. Louis SVP and market manager Becky Domyan says, “We are beyond excited to amplify the reach of the one and only KMOX and serve the St. Louis area in a more significant way. We are thrilled for ‘The Dave Glover Show’ to bring over 20 years of success to KMOX with this expansion to FM. Dave and his team have had an unprecedented track record of creating laughter, highlighting thought-provoking topics, and committing to relevant, local content day in and day out.”
WABC’s Curtis Sliwa Off Air During NYC Mayoral Race. In the aftermath of last week’s complaint filed with New York City’s Campaign Finance Board by attorney Nicholas Marricco suggesting that midday host Curtis Sliwa’s daily show was tantamount to an in-kind donation from WABC, the station has taken Sliwa off the air until he’s either elected mayor or exits the race. Red Apple Media CEO John Catsimatidis issued the following statement: “77 WABC
celebrates what is great about America. We support our democracy and our right to vote, fair elections, and the American process. It is with that in mind that, while Curtis Sliwa is a candidate for the Office of the Mayor of New York City, his radio show, podcast, and all related contributions to 77 WABC Radio are on hiatus.” Catsimatidis adds, “We wish him and all of the candidates good luck in the upcoming race. If Curtis is not successful, we look forward to him rejoining the WABC family.”

DALLAS — R.I.P. American political conventions. You had a good run, but now you’re toast.
2020 has presented talk radio with many challenges, including the COVID-19 pandemic — which has personally impacted many in our industry including the amazing infection-through-recovery story of John McConnell. We’ve also been asked to cover nationwide riots — oops, I mean “peaceful protests”— following the senseless killing of George Floyd by Minneapolis police, the contraction of the radio industry including layoffs and pay cuts, and operating day to day with masks and social distancing.

Cumulus Media Adopts Short-Term Shareholder Rights Plan. The company follows both Entercom (announced on April 21) and iHeartMedia (announced on May 7) in adopting a shareholder rights plan – also known in the financial world as the “poison pill” – to prevent a takeover of the company without the consent of the board of directors. Cumulus Media states, “In adopting the Rights Plan, the Board has taken note of the unprecedented impact of the COVID-19 pandemic on equity market valuations which has led to substantial volatility in the trading of the Company’s stock and a dislocation in Cumulus’ stock price, which the Board believes does not reflect the Company’s inherent value or business performance. The Rights Plan is intended to promote the fair and equal treatment of all shareholders by preventing a creeping change of control without an appropriate premium and on terms that would not deliver sufficient value for all shareholders. In connection with the adoption of the Rights Plan, the Board declared a dividend distribution of one right (a ‘Right’) on each outstanding share of Class A common stock, share of Class B common stock, Series 1 warrant and Series 2 warrant. The record date for the dividend distribution is June 1, 2020. Initially, these Rights will not be exercisable and will be attached to the Company’s common shares and warrants, as applicable. The Rights Plan is intended to protect shareholder interests by reducing the likelihood that any entity, person or group is able to gain control of Cumulus through open market accumulation without paying all shareholders an appropriate control premium or providing the Board sufficient opportunity to make informed judgments and take actions that are in the best interests of all shareholders. The Rights issued pursuant to the Rights Plan would be exercisable only if a person or group acquires 10% (20% in the case of a passive institutional investor) or more of the Company’s outstanding Class A common shares (subject to certain exceptions), including through ownership of the convertible Class B common shares and/or warrants. In that situation, each holder of a Right (other than the acquiring person, whose Rights will become void and will not be exercisable) will be entitled to receive upon exercise of such Right that number of Class A common shares, Class B common shares, Series 1 warrants or Series 2 warrants, as applicable, having a market value of two times the exercise price of $25 per Right. In addition, the Rights Plan contains a similar provision if Cumulus is acquired in a merger or other business combination after an unapproved party acquires 10% (20% in the case of a passive institutional investor) or more of the Company’s outstanding Class A common shares, including through ownership of the convertible Class B common shares and/or warrants. The Board, at its option, may exchange each Right (other than Rights owned by the acquiring person that have become void) at an exchange ratio of one Class A common share, Class B common share, Series 1 warrant or Series 2 warrant, as applicable, per outstanding Right, subject to adjustment.” The Rights expire on April 30, 2021.

TALKERS Magazine Presents the 2020 100 Most Important Sports Talk Radio Hosts in America. The editors of TALKERS magazine, with input from industry leaders, have compiled and published the eighth annual Heavy Hundred of Sports Talk – The 100 Most Important Sports Talk Radio Hosts in America. This list, like its long-established “sister list” – the long-running annual “Heavy Hundred” that ranks talk radio hosts working in the news/talk and general talk genres – the editors of TALKERS magazine have ranked sports talk hosts, duos, or ensembles from 1 to 100 based upon a set of criteria that includes a combination of hard and soft factors. TALKERS executive editor Kevin Casey says it’s important to note that this year’s Heavy Hundred comes with an important qualifying statement. “The publication of this year’s list was delayed by the coronavirus pandemic and it is crucial to note that it represents a snapshot of the industry as it was shortly after January 1, 2020 and is based on performances and assessments made prior to that point. Although we were prepared to publish the list in March, we delayed publication in order to focus on the pandemic’s effect on the radio industry. As a result of COVID-19, some of the talent on this list have been victims of unexpected staff reductions and furloughs and are not currently on the air. It is our belief that they deserve to be recognized for their accomplishments, nonetheless. TALKERS salutes the fine broadcasters who made the eighth annual list!” See it here.

Back in 2008, just 4% of households reported owning no radio at all; the figure for 2020 is 32% owning no home radio. Edison asks, “What has replaced these radios? Do those who have no radios instead have smart speakers in their homes? Tune in to The Infinite Dial webinar for the answer to these questions and many others.” You can find registration information for the webinar here.

Appeals Court Nixes Ref’s Suit Against Kentucky Sports Radio. College basketball referee John Higgins lost his Appeals Court suit against Lexington-based Kentucky Sports Radio and talk hosts Matt Jones and Drew Franklin. Higgins had sued alleging intentional infliction of emotional distress, invasion of privacy, tortious interference with a business relationship, and civil conspiracy. However, the Court ruled against him on First Amendment grounds. Higgins refereed the 2017 Elite Eight game of the
NCAA Basketball Tournament between the Kentucky Wildcats and the North Carolina Tar Heels. Kentucky lost a close game and many of its fans blamed Higgins’ refereeing for the loss. Naturally, Kentucky Sports Radio, including Jones and Franklin discussed the loss and Higgins’ role in it. After a fan learned that Higgins owned a roofing company in Omaha, angry Kentucky fans began leaving poor reviews of his business on social media, causing his reviews to plummet from highly positive to very negative and, he says, causing him financial losses. Higgins argued the hosts at KSR were in part to blame for this. The Court’s ruling is interesting, and you can read it here.

Jack Sunday Retires from Full-Time KFGO, Fargo Role. Longtime Fargo talk radio personality Jack Sunday has retired from his full-time role as an on-air talk host on Midwest Communications’ news/talk KFGO-AM. Sunday had been co-hosting the late morning show with Amy Iler, who wrote a nice piece about Sunday that you can see here. Iler is now partnered with JJ Gordon on the “It Takes Two” program. Sunday acknowledged his decision to leave the position was difficult and noted that he is caring for his wife who suffers from a rare neurological condition. Sunday first joined KFGO in 1989 and over the course of 30 years served as program director, afternoon host, and midday personality. He tells KFGO’s Joel Heitcamp, “I am convinced that there is probably no other radio station in the country like KFGO… we have 17 or 20 people who are on the air live as personalities for extended periods of time… a four-person news team, a meteorologist and sports. Appeals Court Tosses Prager’s YouTube Lawsuit. The suit by Salem Radio Network talk host Dennis Prager’s non-profit educational organization, Prager University, against Google’s YouTube platform was shot down by the U.S. 9th Circuit Court of Appeals yesterday (2/26). Prager University had sued YouTube claiming it had violated its First Amendment rights and the Lanham Act (false advertising), but the District Court dismissed the suit. PragerU appealed and the Appeals Court agreed with the lower court. At issue here was PragerU’s claim that YouTube’s Restricted Mode violated the conservative educational organization’s First Amendment rights by making certain of its video unviewable for those under a certain age due to its Restricted Mode guidelines. It also claimed that YouTube’s promotional language touting the importance of people being able to “speak freely” while putting certain videos in Restricted Mode violated the Lanham Act. Judge M. Margaret McKeown writes in the decision, “The panel held that despite YouTube’s ubiquity and its role as a public-facing platform, it remains a private forum, not a public forum subject to judicial scrutiny under the First Amendment. The panel noted that just last year, the Supreme Court held that ‘merely hosting speech by others is not a traditional, exclusive public function and does not alone transform private entities into state actors subject to First Amendment constraints.’ The panel held that the Internet does not alter this state action requirement of the First Amendment. The panel therefore rejected plaintiff’s assertion that YouTube is a state actor because it performs a public function. Addressing the false advertising claim under the Lanham Act, the panel held that YouTube’s statements concerning its content moderation policies do not constitute ‘commercial advertising or promotion’ as the Lanham Act requires. Nor was YouTube’s designation of certain of plaintiff’s videos for Restricted Mode part of an advertising or promotion or a misrepresentation as to the videos. Finally, the panel held that YouTube’s braggadocio about its commitment to free speech constituted opinions that are not subject to the Lanham Act.”
